Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website, platform, software, hosted environments, AI agents, workflows, integrations, APIs and related services made available under the brand MaxWorker.ai by AMA Invest Capital Limited, Registration No.: 77221253, Registered Address: Unit 1603, 16th Floor, The L Plaza, 367-375 Queen's Road Central, Sheung Wan, Hong Kong, Email: support@MaxWorker.ai ("MaxWorker.ai", "Company", "we", "us", "our").

By accessing, browsing, registering for, subscribing to, purchasing, deploying, configuring, or otherwise using MaxWorker.ai, you agree to be bound by these Terms. If you do not agree, do not use MaxWorker.ai.

1. Eligibility

You may use MaxWorker.ai only if you are at least 18 years old, have legal capacity to enter into a binding agreement, are not prohibited from using the services under applicable law, and, if you act on behalf of a company or other legal entity, you have authority to bind that entity to these Terms.

2. Description of MaxWorker.ai

MaxWorker.ai is a cloud-based managed platform for the deployment, operation and management of personal AI agents, automations, integrations, isolated environments and related digital workflows.

MaxWorker.ai may provide infrastructure through dedicated or isolated containerized environments, including isolated Docker containers, may provide access to third-party AI models and APIs, including without limitation models or services from OpenAI, Anthropic, Google, Meta and Mistral, and may support integrations with communication and productivity channels, including without limitation Telegram, WhatsApp, Slack, email and other supported services.

We may modify, update, improve, replace, suspend or discontinue any part of MaxWorker.ai at any time, with or without notice, to the extent permitted by law.

3. Account Registration and Security

To access some or all features of MaxWorker.ai, you may need to create an account.

You agree to provide accurate, current and complete information, keep your login credentials secure, promptly update account details if they change, and accept responsibility for all activities conducted through your account.

You must notify us immediately at support@MaxWorker.ai if you suspect unauthorized access, credential compromise or another security incident.

MaxWorker.ai may use authentication, token-based authorization, session management and account security systems, including without limitation JWT-based authorization, Supabase Auth, Clerk, or equivalent identity and access management solutions.

4. Subscription, Billing, Tokens and Auto-Renewal

MaxWorker.ai is offered on a subscription basis and may also include usage-based elements, internal balance, credits, tokens, energy units, add-ons, consumption limits, overages or third-party pass-through charges.

Access to compute resources, hosted environments, AI model requests, storage, messaging integrations and related resources may be provided through a subscription and/or internal balance mechanism.

By purchasing a subscription, topping up balance, or otherwise paying for MaxWorker.ai, you authorize AMA Invest Capital Limited and its authorized payment service providers to charge your selected payment method on a recurring or one-time basis for all applicable fees, taxes and authorized charges.

Payments may be processed by third-party payment providers, including without limitation, Stripe and PayPal, and any successor or alternative provider used by MaxWorker.ai.

Unless explicitly stated otherwise, subscriptions renew automatically for successive billing periods until canceled.

You are responsible for keeping billing details current and valid.

If payment cannot be processed, we may retry the charge, suspend access, restrict functionality, stop provisioning resources, or terminate your account.

All prices, features, limits and plan details are as displayed on MaxWorker.ai or in the applicable order flow at the time of purchase.

We may change pricing, packaging, included usage, credits, limits or features prospectively, and such changes will apply from the next billing cycle unless otherwise stated.

5. No Refunds

All purchases, subscription fees, setup fees, balance top-ups, token purchases, provisioning fees, usage fees, add-on fees and other charges paid for MaxWorker.ai are final and non-refundable, non-cancelable and non-creditable, whether used or unused, in whole or in part, except only where non-waivable mandatory law expressly requires otherwise.

This no-refund rule applies, without limitation, to monthly subscriptions, partial periods, unused time, unused credits, unused balance, mistaken purchases, failure to cancel before renewal, change of business needs, dissatisfaction with output, AI errors or hallucinations, third-party provider changes, suspension for breach and termination for cause.

Because MaxWorker.ai provisions digital services, isolated cloud infrastructure, compute resources, third-party LLM access, integrations and hosted environments on demand, you agree that no refund, reimbursement, setoff or chargeback entitlement exists except where mandatory law clearly overrides this clause.

You may cancel your subscription at any time, but cancellation will take effect at the end of the then-current billing cycle unless expressly stated otherwise.

6. Taxes

All fees are exclusive of taxes unless expressly stated otherwise.

You are solely responsible for all VAT, GST, sales tax, use tax, withholding tax, duties, levies or similar governmental charges associated with your purchase or use of MaxWorker.ai, other than taxes imposed on our net income.

7. Acceptable Use

You may use MaxWorker.ai only for lawful purposes and in compliance with these Terms, applicable laws, regulations and third-party provider rules.

You may not use MaxWorker.ai to violate any law, infringe intellectual property, privacy or other rights, process data unlawfully, transmit malware, gain unauthorized access to systems, interfere with the integrity or security of the services, reverse engineer or attempt to derive source code except where such restriction is prohibited by law, scrape or harvest data without authorization, send spam or phishing, generate or facilitate illegal, fraudulent, deceptive, abusive, harassing, defamatory, offensive, infringing or harmful content, violate the acceptable use policies of third-party AI providers, or use MaxWorker.ai in connection with weapons, critical infrastructure, emergency medical decision-making, life-sustaining decisions or other high-risk activities unless expressly approved by us in writing.

8. AI-Specific Terms

You acknowledge that MaxWorker.ai involves artificial intelligence systems and third-party model providers and that outputs may be inaccurate, incomplete, biased, offensive, misleading, unpredictable, non-compliant or unsuitable for your intended purpose.

AI systems may make mistakes or produce hallucinations.

You are solely responsible for reviewing, validating and approving all outputs, actions, automations, recommendations, code, messages, workflows and downstream consequences before relying on them.

MaxWorker.ai does not provide legal, tax, accounting, investment, compliance, employment, medical or other professional advice, and no output generated through MaxWorker.ai should be treated as a substitute for qualified human review.

We are not liable for business, legal, financial, operational or personal decisions made based on outputs, actions or responses generated through MaxWorker.ai.

9. Third-Party Services and Dependencies

MaxWorker.ai may rely on or interoperate with third-party providers, including without limitation OpenAI, Anthropic, Google, Meta, Mistral, Stripe, PayPal, PostHog, Hetzner, Supabase, PostgreSQL, Supabase Auth, Clerk, Telegram, WhatsApp, Slack, Google Ads, Meta Ads and other cloud, infrastructure, analytics, authentication, payment, communications, database, hosting, marketing or integration providers.

We do not control and are not responsible for the acts, omissions, availability, policy changes, pricing changes, outages, moderation decisions, content, data handling, security failures or service changes of such third parties.

Your use of third-party services through MaxWorker.ai may also be subject to those third parties' own terms, privacy notices and acceptable use rules.

10. Customer Data

As between you and MaxWorker.ai, you retain your rights in the data, files, prompts, content, inputs, configurations, connected channel messages and other materials that you submit to or process through MaxWorker.ai ("Customer Data"), subject to the rights granted by you under these Terms.

You grant AMA Invest Capital Limited a worldwide, non-exclusive, royalty-free, limited license to host, copy, store, process, transmit, display and otherwise use Customer Data solely as necessary to provide, secure, maintain, improve, support and enforce MaxWorker.ai, comply with law, investigate abuse and fulfill our contractual obligations.

You represent and warrant that you have all rights, permissions, notices and legal bases necessary to provide Customer Data to MaxWorker.ai and to instruct us and our subprocessors to process it.

11. Intellectual Property

MaxWorker.ai and all associated software, source code, object code, interfaces, architecture, designs, workflows, know-how, trademarks, logos, documentation, website content, visual elements, service names, features and related intellectual property are and remain the exclusive property of AMA Invest Capital Limited and/or its licensors, except for Customer Data and third-party materials owned by their respective owners.

No ownership rights are transferred to you.

We grant you only a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use MaxWorker.ai during the active subscription term in accordance with these Terms.

12. Feedback

If you provide ideas, feedback, suggestions, improvements or recommendations regarding MaxWorker.ai, you grant AMA Invest Capital Limited a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable and sublicensable right to use, exploit, modify, commercialize and incorporate such feedback without restriction, notice or compensation to you.

13. Suspension and Termination

We may suspend, restrict, disable or terminate your access to MaxWorker.ai immediately, with or without notice, if we reasonably believe that you breached these Terms, failed to pay amounts due, created legal, compliance, reputational, operational or security risk, engaged in abuse, violated third-party rules, or if suspension or termination is otherwise necessary to protect MaxWorker.ai, our users, our partners or our business.

You may stop using MaxWorker.ai at any time and may cancel renewal before the next billing cycle, but no cancellation entitles you to any refund.

Upon suspension or termination, your access rights cease immediately and we may disable, deprovision or delete environments, accounts, balance, credits, integrations, logs, stored content and related resources in accordance with our operational and retention policies.

14. Availability and Service Changes

MaxWorker.ai is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted availability, error-free operation, compatibility, performance, latency, uptime, or that any feature, provider, integration, channel or model will remain available.

We may strive for high availability, but we do not guarantee uninterrupted operation of third-party APIs, communication channels, infrastructure providers, payment processors, AI providers or integrations.

Downtime, delays, degradation, output inconsistency, failures and disruptions may occur due to maintenance, updates, third-party outages, security incidents, force majeure, internet failures, infrastructure issues or other causes.

15. Disclaimers

To the maximum extent permitted by applicable law, MaxWorker.ai disclaims all warranties, representations and conditions, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted use, satisfactory quality or results.

We do not warrant that MaxWorker.ai will meet your expectations, business goals or compliance requirements, that outputs will be correct or useful, that defects will be corrected, or that MaxWorker.ai will be secure, uninterrupted or free of harmful components.

16. Limitation of Liability

To the maximum extent permitted by applicable law, AMA Invest Capital Limited, MaxWorker.ai and their directors, officers, employees, contractors, affiliates, licensors, suppliers and agents shall have no liability whatsoever arising out of or related to MaxWorker.ai, these Terms, any subscription, token balance, output, automation, integration, third-party service, data processing, service interruption, payment processing event, security incident, business interruption, lost profits, lost revenue, lost savings, lost goodwill, lost data, procurement of substitute services, reputational damage, indirect damage, incidental damage, special damage, punitive damage, exemplary damage or consequential damage, whether based on contract, tort, negligence, strict liability, statute or any other theory, even if advised of the possibility of such damages.

If applicable law does not permit full exclusion of liability, then liability shall be excluded and limited only to the minimum extent required by such law, and nothing in these Terms shall be interpreted as assuming any liability beyond that minimum mandatory legal threshold.

17. Indemnification

You agree to defend, indemnify and hold harmless AMA Invest Capital Limited, MaxWorker.ai and their affiliates, directors, officers, employees, contractors, licensors and agents from and against any claims, demands, actions, proceedings, liabilities, damages, losses, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or related to your use of MaxWorker.ai, Customer Data, your breach of these Terms, your violation of law, your violation of third-party rights, your misuse of AI outputs, your connected channels, or any content, actions or consequences generated, deployed or triggered through your account or environment.

18. Privacy

Your use of MaxWorker.ai is also governed by the MaxWorker.ai Privacy Policy, which is incorporated into these Terms by reference.

19. Export Controls and Sanctions

You represent and warrant that you are not located in, organized in, resident in, or acting for or on behalf of any person or entity that is the subject of trade sanctions, export restrictions or similar prohibitions under applicable law, and that you will not use MaxWorker.ai in violation of export control, sanctions or anti-boycott laws.

20. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with MaxWorker.ai or these Terms shall be governed by the laws of Hong Kong, without regard to conflict of laws principles.

The courts of Hong Kong shall have exclusive jurisdiction over all disputes, claims and proceedings arising out of or related to these Terms or MaxWorker.ai, except to the extent mandatory law requires otherwise.

21. Changes to These Terms

We may update these Terms from time to time by posting the revised version on MaxWorker.ai.

The updated Terms become effective upon posting or on the effective date stated in them.

Your continued use of MaxWorker.ai after that date constitutes acceptance of the updated Terms.

22. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision shall not constitute a waiver.

You may not assign or transfer these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets or similar transaction.

These Terms, together with the Privacy Policy and any applicable order form or written agreement, constitute the entire agreement between you and AMA Invest Capital Limited regarding MaxWorker.ai.
